1. Acceptance of Terms & Scope of Portal Access
These Terms of Service (“Terms”) govern the access and utilization of all corporate portals, strategic briefing ingress channels, research repositories, and multi-sector advisory communications operated by Makeway Group Holdings Limited (“Makeway Group”).
By accessing this portal or submitting an executive briefing inquiry, institutional investors, sovereign representatives, enterprise partners, and visitors explicitly agree to be bound by these Terms and our integrated Privacy Policy.

2. Advisory Engagements & Sovereign Representation
Makeway Group provides strategic advisory, cross-border capital structuring, industrial transformation, and sovereign infrastructure consulting. Initial briefing submissions via this portal represent exploratory preliminary interactions and do not constitute an enforceable fiduciary, syndication, or legal relationship until a formal bilateral Advisory Services Agreement (ASA) is executed.

3. Mutual Non-Circumvention & Non-Disclosure (NCNDA)
All proprietary business concepts, infrastructure tender specifications, sovereign syndication models, and institutional transaction parameters exchanged through our executive ingress channels are subject to International Chamber of Commerce (ICC 500/600) non-circumvention and non-disclosure standards.
Covenant: Neither party shall circumvent, avoid, bypass, or obviate each other directly or indirectly to consummate transaction opportunities, concessions, or partner introductions disclosed during advisory convenings.

4. Intellectual Property & Research Publications
All text, graphical frameworks, market models, macroeconomic analyses, whitepapers, executive reports, trademarks, logos, and portal source code are the exclusive intellectual property of Makeway Group Holdings Limited, protected under the Kenya Copyright Act (Cap 130), Industrial Property Act 2001, and international treaties.
Institutional clients are granted a non-exclusive, non-transferable license to review research publications for internal executive evaluation only. Commercial re-syndication, scraping, or automated model harvesting is strictly prohibited.

5. Forward-Looking Economic Disclosures
Portal publications and strategic presentations may contain forward-looking statements regarding market mandates, regional infrastructure yields, GDP growth indicators, and industrial yields across East and Central Africa. These represent informed strategic estimates and do not constitute guaranteed investment returns, sovereign fiscal guarantees, or formal securities solicitations.

6. Limitation of Liability & Indemnification
To the maximum extent permitted under applicable law, Makeway Group, its board of directors, practice partners, and affiliates shall not be liable for direct, indirect, incidental, special, or consequential damages resulting from portal downtime, transmission interruptions, or commercial decisions executed prior to bilateral contractual verification.
Section 07
7. Governing Law & Arbitration Venue
These Terms shall be interpreted and governed in accordance with the substantive laws of the Republic of Kenya. Any commercial dispute arising out of or in connection with these Terms or portal transactions shall be referred to and finally resolved by binding arbitration administered by the Nairobi Centre for International Arbitration (NCIA) under its Arbitration Rules. The seat of arbitration shall be Nairobi, Kenya, and proceedings shall be conducted in the English language.
